Terms of Service
Company: Bilbel L.L.C-FZ, License number: 2535100.01, Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. ("Argus", "we", "us").
Service: The Argus web application and related features (the "Service").
1) Acceptance
By clicking "Agree", creating an account, subscribing, or using the Service, you confirm that you:
- have read and understood these Terms, and
- agree to be legally bound by them.
If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you represent you have authority to bind that entity, and "you" includes the entity.
2) What Argus Does
Argus provides investment pre-screening analyses for public companies using market/company data, regulatory filings, configurable prompts, and a selected large language model. Outputs are structured relevance assessments meant to help decide whether a company merits deeper work.
Argus is not a broker-dealer, investment adviser, fiduciary, or tax/legal adviser, and the Service does not provide personalized investment advice. You are solely responsible for your decisions.
Bilbel L.L.C-FZ is not an investment adviser. This service is a software subscription only and is not a recommendation to buy or sell any security.
3) Eligibility
You must be at least 18 and able to form a binding contract. You may not use the Service if you are prohibited by law, sanctions, or export restrictions.
4) Accounts and Security
Each account is licensed for a single user only. You may not share your account or login credentials with anyone else. You must provide accurate account information and keep it updated. You are responsible for all activity under your account and for keeping credentials secure. Notify us promptly of suspected unauthorized access.
5) Subscriptions, Fees, Billing
If you purchase a subscription or add-ons, you agree to pay the fees shown at checkout or in an order form. Fees are non-refundable except where required by law.
New self-service subscriptions include a three-day free trial and require a valid payment method at checkout. Unless you cancel before the trial ends, Stripe will automatically charge the monthly or yearly price you selected at checkout. Your subscription then renews automatically at the same interval until cancelled. Applicable taxes may be added.
Lite provides access to 3 selected markets and up to 12 randomly selected ready companies per calendar month, normally 4 per market. Pro provides access to 5 selected markets and up to 70 randomly selected ready companies per calendar month, normally 14 per market. Ultra provides access to all available markets and companies. Company selections can vary each month, availability depends on completed research coverage, and unused access does not roll over. Yearly billing changes the payment interval but not the monthly selection cycle.
You may cancel through the billing portal. Unless checkout or applicable law states otherwise, cancellation takes effect at the end of the current trial or paid billing period and does not create a refund for amounts already charged.
We may suspend or terminate access for non-payment.
6) Customer Inputs, Prompts, and Outputs
- Inputs: Depending on your subscription plan, you may provide prompts, parameters, watchlists, tickers, and other content ("Customer Content"). You grant us a non-exclusive license to process Customer Content to provide and improve the Service.
- Outputs: Outputs may be inaccurate, incomplete, or misleading. You must validate outputs using primary sources (including original filings) before relying on them.
- No guarantee of timeliness: Alerts/notifications (including watched price thresholds) may be delayed or missed. Do not use the Service for real-time trading decisions. We are not liable for any losses, damages, or missed opportunities resulting from delays in providing analysis or downtime of the Service itself. However, in the event of significant delays or service outages, we may, at our sole discretion, provide you with an extended package duration to compensate for the disruption.
- Coverage Limitations: We provide no guarantees that every company or filing within your selected market cap range and markets will be successfully analyzed. Companies and filings may occasionally be missed or skipped due to data unavailability, technical limitations, or other unpredictable conditions.
7) Generative AI Data Risks
You acknowledge and accept that:
- The Service uses third-party data sources and filings that may be wrong, incomplete, delayed, or unavailable.
- LLM-generated text can "hallucinate" facts, misread context, or produce errors confidently.
- Simulations are hypothetical and not a promise of future results.
- Market data may be stale and corporate actions may not be reflected promptly.
You agree you will not treat outputs as verified facts without independent checking.
8) Prohibited Uses
You will not:
- use the Service to break laws, regulations, sanctions, or third-party rights;
- reverse engineer, scrape, probe, or attack the Service;
- bypass usage limits, access controls, or security;
- upload malware or harmful code;
- use outputs to mislead others (fraud, market manipulation, deceptive marketing);
- resell or provide the Service to third parties unless allowed by a written agreement with us.
9) Intellectual Property
We own the Service, its software, design, and underlying methodology. You receive a limited, revocable, non-transferable license to use the Service for your internal business purposes during your subscription, subject to these Terms.
10) Confidentiality
Non-public information you receive about the Service (including model settings, internal ranking logic, and proprietary prompt strategies provided by us) is confidential. You will not share it except with employees / contractors who need it and are bound by similar confidentiality duties.
11) Third-Party Services and Content
The Service may depend on third-party providers (market data, filings, LLMs, hosting). We are not responsible for third-party systems, outages, changes, or errors. Third-party terms may apply.
12) No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED AVAILABILITY.
13) Limitation of Liability
To the maximum extent permitted by applicable law (including the UAE Civil Code):
(a) No Consequential Damages. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenues, lost data, data breaches, hacking incidents, or trading losses.
(b) Liability Cap. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), or otherwise, is limited to the greater of: (i) the prorated subscription fees equivalent to one (1) month of the Service; or (ii) 100 USD.
14) Indemnity
You agree to indemnify, defend, and hold harmless Argus and its owners, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- your use of the Service,
- your Customer Content,
- your breach of these Terms,
- your violation of law or third-party rights,
- any decisions you make based on outputs (including trading/investment decisions).
15) Suspension and Termination
We may suspend or terminate your access immediately if we believe you violated these Terms, created risk, or used the Service unlawfully. You may stop using the Service at any time.
Sections that should survive termination (e.g., IP, confidentiality, disclaimers, limitation of liability, indemnity) will survive.
16) Changes to the Service and Terms
We may modify the Service and these Terms. If changes are material, we will provide notice (e.g., email). Continued use after the effective date means you accept the updated Terms.
17) Governing Law and Dispute Resolution
Governing law: UAE
Any dispute will be resolved by binding arbitration in Dubai, under the Rules of the Dubai International Arbitration Centre (DIAC), in English, and each party waives class actions.
18) Class Action Waiver
Where permitted by law, you agree disputes will be brought only on an individual basis and not as a plaintiff/class member in any class or representative action.
19) Miscellaneous
- If any part of these Terms is unenforceable, the rest remains in effect.
- You may not assign these Terms without our consent; we may assign in connection with a merger/sale.
- These Terms are the entire agreement unless an order form or written agreement states otherwise.
20) Contact
If you have questions about these terms, please contact: info@bilbelcapital.com.
